Terms and Conditions

for providing website creation services by GrowByte s.r.o.

1. Introductory provisions

  1. 1.1.These Terms govern the relationship between GrowByte s.r.o. (the 'Provider') and the customer (the 'Client').
  2. 1.2.They form an integral part of the contract or order (the 'Agreement').
  3. 1.3.By entering into the Agreement, the Client confirms they have read and agree.

2. Scope of services

  1. 2.1.The Provider supplies custom website and web app development.
  2. 2.2.Specific scope and features are set in the Agreement or confirmed order.
  3. 2.3.Optional services (design, CMS, domain/hosting setup) may be agreed.

3. Price and payment

  1. 3.1.The price is set in the Agreement (VAT included where applicable).
  2. 3.2.Invoices are due within 14 days unless agreed otherwise.
  3. 3.3.A reasonable advance up to 100% may be requested.

4. Client cooperation

  1. 4.1.The Client supplies all content and materials needed.
  2. 4.2.Delays in content may extend delivery; the Provider is not liable.
  3. 4.3.The Client ensures provided content does not infringe third‑party rights.

5. Delivery time

  1. 5.1.Completion date is stated in the Agreement.
  2. 5.2.No delay if caused by the Client or force majeure.

6. Copyright and licence

  1. 6.1.Copyright belongs to the Provider.
  2. 6.2.An exclusive, unlimited, transferable licence is granted after full payment.
  3. 6.3.The Client may use and modify the site within the licence.
  4. 6.4.The Provider may showcase the site as a reference.
  5. 6.5.

7. Warranty and claims

  1. 7.1.24‑month conformity warranty.
  2. 7.2.Defects must be reported without undue delay.
  3. 7.3.Acknowledged defects will be remedied within a reasonable time.

8. Liability

  1. 8.1.The Provider is not liable for client‑provided content.
  2. 8.2.Nor for hosting/Internet/third‑party outages.
  3. 8.3.Total liability is limited to the service price.

9. Termination

  1. 9.1.Client may withdraw before completion subject to proportional payment.
  2. 9.2.Provider may withdraw for repeated breaches by the Client.

10. Data protection

  1. 10.1.Personal data is processed in accordance with applicable law.
  2. 10.2.Details are in the privacy policy on the Provider's website.

11. Final provisions

  1. 11.1.Effective date: 1.10.2025.
  2. 11.2.Governing law: Czech Republic.
  3. 11.3.Disputes: court at the Provider's registered office.
  4. 11.4.Agreed deviations in the Agreement prevail over these Terms.
